STANDARD TERMS AND CONDITIONS OF SALE

The Hydraulic Exchange LLC

1. Scope & Acceptance

By placing an order with The Hydraulic Exchange LLC (“Seller”), the customer (“Buyer”) agrees to these Terms and Conditions of Sale. Buyer expressly waives its own purchase terms, even if submitted after receipt of these Terms. Any deviation must be agreed to in writing by Seller prior to order acceptance.

2. Pricing & Payment

  • Standard payment terms are Net 21 days, unless otherwise stated on the quotation or invoice.

  • Seller may require full payment or payment authorization prior to shipment for high‑value or custom orders.

  • No goods will ship until payment is captured and verified, regardless of sales order status in any system.

  • Late payments accrue a 10% fixed charge on the outstanding balance.

  • Seller may suspend shipments, services, or future orders if any invoice remains unpaid.

3. Non‑Payment & Collections

If any amount remains unpaid 60 days after the due date:

  • Seller may refer the account to a licensed collections agency.

  • Buyer is responsible for all collection costs, including attorney fees and court costs.

4. Withholding Taxes

Some jurisdictions impose withholding taxes on cross‑border payments.

  • Buyer is solely responsible for any withholding required by its local laws.

  • Seller must receive the full invoiced amount, without deduction.

  • Seller will not participate in or reimburse costs arising from foreign tax regulations.

5. Delivery, Lead Times & Performance

Seller will make commercially reasonable efforts to meet quoted lead times.

  • All delivery dates are estimates, not guarantees.

  • Seller’s obligations are best‑effort, not obligations of result.

  • Seller is not liable for delays caused by carriers, supply chain issues, or events outside its control.

6. Claims, Shortages & Returns

All claims must be submitted in writing within 8 days of delivery. Claims received after this period are considered waived. No returns will be accepted without prior written authorization and an RMA number.

7. Limitation of Liability

Seller will not be liable for:

  • Consequential, incidental, or indirect damages

  • Loss of production, downtime, or lost profits

  • Claims made by Buyer’s customers or end‑users

Seller cannot be named as a third party in disputes between Buyer and its customers.

8. Warranty

Seller warrants only that products supplied will conform to the specifications provided at the time of sale. Misuse, improper installation, contamination, or operation outside rated limits voids all warranties.

9. Governing Law

All transactions are governed exclusively by the laws of the United States and the State of Louisiana, without regard to conflict‑of‑law principles.

10. Entire Agreement

These Terms constitute the entire agreement between Seller and Buyer and supersede all prior proposals, communications, or representations.
